1. Agreement to Terms

By accessing or using GovSignal ("the Service"), including our website, newsletter, and any paid subscription plans, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you ("Subscriber," "you," or "your") and GovSignal ("we," "us," or "our"). We may update these Terms from time to time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

GovSignal provides an email newsletter and related digital content that aggregates, summarizes, and analyzes government contract opportunities from publicly available procurement databases across the United States, United Kingdom, and Canada. The Service includes:

• Free tier: A weekly email digest containing curated government contract summaries.
• Pro tier ($39/month): Daily email alerts with advanced filtering, AI-generated analysis, win-probability scoring, and historical data.
• Enterprise tier ($99/month): All Pro features plus API access, custom filters, team access, and priority support.

3. Data Accuracy Disclaimer

GovSignal aggregates information from third-party government procurement databases and applies automated processing including artificial intelligence analysis. While we strive for accuracy, we make no warranty or guarantee that:

• The information presented is complete, accurate, current, or error-free.
• All available government contracts are captured by our scanning systems.
• AI-generated summaries, analysis, or win-probability scores accurately reflect the underlying contract documents.
• Contract details including deadlines, values, and requirements have not changed since our last scan.

You are solely responsible for verifying all contract information directly with the issuing government agency before making any business decisions. GovSignal is a discovery and summarization tool, not a replacement for reading original solicitation documents.

4. No Financial, Legal, or Professional Advice

The content provided through GovSignal, including AI-generated analysis, win-probability scores, and historical award data, is for informational purposes only. It does not constitute and should not be interpreted as:

• Financial advice or investment guidance.
• Legal advice regarding procurement regulations, compliance, or contract law.
• Professional consulting on proposal strategy or bid preparation.
• A guarantee or prediction of contract award outcomes.

Win-probability scores are statistical estimates based on historical patterns and should not be relied upon as predictions. You should consult qualified professionals for financial, legal, and strategic advice related to government contracting.

5. Subscription and Payment

Free subscriptions require only a valid email address. Paid subscriptions (Pro and Enterprise) are billed monthly in advance. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring monthly basis until you cancel.

You may cancel your paid subscription at any time. Upon cancellation, you will retain access to paid features through the end of your current billing period. No refunds are provided for partial months. Your account will automatically revert to the free tier after your paid period expires.

We reserve the right to change our pricing with 30 days' notice to existing subscribers. Price changes will take effect at the start of your next billing cycle following the notice period.

6. Newsletter and Email Communications

By subscribing to GovSignal, you consent to receive email communications including:

• Your selected newsletter digest (weekly or daily, depending on your plan).
• Service announcements, feature updates, and important notices about your account.
• Occasional promotional content about GovSignal's paid plans or features.

You may unsubscribe from our newsletter at any time using the unsubscribe link included in every email. Unsubscribing from the newsletter will terminate your GovSignal subscription.

7. Acceptable Use

You agree not to:

• Redistribute, resell, or republish GovSignal content without our written permission.
• Use automated systems, bots, or scrapers to access our website or API beyond your plan's permitted usage.
• Attempt to reverse-engineer our AI analysis or data processing systems.
• Share your paid account credentials with unauthorized users.
• Use the Service for any unlawful purpose or in violation of these Terms.

Enterprise plan subscribers may share access with up to five authorized team members within their organization. All team members are bound by these Terms.

8. Intellectual Property

All content created by GovSignal, including AI-generated summaries, analysis, scoring, and editorial content, is our intellectual property. Underlying government contract data is publicly available and not claimed as our property.

You are granted a limited, non-exclusive, non-transferable license to use GovSignal content for your internal business purposes. You may not reproduce, distribute, or create derivative works from our content without prior written consent.

9. Limitation of Liability

To the maximum extent permitted by applicable law, GovSignal and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, business opportunities, or contracts.
• Damages arising from reliance on GovSignal data, summaries, or analysis.
• Missed contract deadlines or opportunities.
• Decisions made based on AI-generated win-probability scores or recommendations.
• Inaccuracies in aggregated data from third-party government databases.

In no event shall our total liability exceed the amount you have paid to GovSignal in the twelve months preceding the claim. Free subscribers acknowledge that the Service is provided at no cost and accept that liability is limited to zero.

10. Indemnification

You agree to indemnify and hold harmless GovSignal and its affiliates from any claims, damages, losses, or expenses arising out of your use of the Service, your violation of these Terms, or your reliance on information provided through the Service.

11. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. In the event of termination of a paid subscription by us without cause, we will provide a pro-rata refund for the unused portion of your current billing period.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
